Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. SWEEPSTAKES OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE AT LEAST 21 YEARS OF AGE.

1) SWEEPSTAKES PERIOD: The “Bring the Derby Home!” Sweepstakes (the “Sweepstakes”) starts March 11, 2010 at 12:00:01AM Eastern Time (ET) and ends April 22, 2010 at Noon, 12:00:00 PM ET (the "Sweepstakes Period").

2) ELIGIBILITY: TO BE ELIGIBLE TO ENTER, YOU MUST BE 21 YEARS OF AGE OR OLDER AND A LEGAL RESIDENT OF THE U.S. RESIDING IN ONE OF THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA ON DATE OF ENTRY DURING THE SWEEPSTAKES PERIOD. Officers, directors, and employees of Churchill Downs Incorporated (“Sponsor”) and Marden-Kane, Inc. (“Administrator”) and each of their respective parent, subsidiary and affiliated companies, distributors, advertising, promotional and judging agencies, persons engaged in the development, production, or distribution of materials for this Promotion (collectively, the “Promotion Parties”) and the immediate family members (parent, child, sibling, spouse, grandmothers, and/or grandfathers of each) of, and/or persons living in the same household as such individuals (whether related or not) are not eligible to enter.

3) HOW TO ENTER: No purchase necessary, and no entry fee, payment, or proof-of-purchase necessary to participate in the Sweepstakes. During the Sweepstakes Period go to www.KentuckyDerbyParty.com (the “Website”), click on the “Register” button, and complete the registration page. Once complete, click on “Register” and you will automatically be entered into the Sweepstakes. The registration page must be completely filled out in order to be eligible. By clicking “Register” you confirm that you have read these Official Rules and accept them as written. You also confirm that you are at least 21 years of age. Limit one (1) entry per person, per email address during the Sweepstakes Period. Any individual who attempts to register, or in the sole discretion of Sponsor is suspected of registering more than once or submits entries in excess of the disclosed maximum, by any means, including but not limited to establishing multiple email accounts, will be disqualified from participation in this Sweepstakes. The name of the person submitting the Sweepstakes entry must be the name of the person who is registered with such email address, and the authorized account holder of such email address, otherwise, entry may be deemed void. In the event of a dispute over the identity of the potential Grand Prize Winner, the entry will be declared made by the authorized account holder of the email address submitted at the time of entry, and potential Grand Prize Winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such email address. It is the sole responsibility of the entrant to notify the Sponsor in writing if the entrant changes his or her email or postal address during the Sweepstakes Period.

Proof of emailing does not constitute proof of delivery or entry. All entries become the property of the Sponsor and will not be returned to entrant. Each entry submission must be manually key-stroked and manually entered by the individual entrant; automated and/or repetitive electronic submission of entries (including but not limited to entries made using any script, macro, bot, or sweepstakes service) will be disqualified and transmissions from these or related email or IP addresses may be blocked. No faxed, mailed, electronically mailed, or phoned-in registrations are allowed; this is an Internet-based Sweepstakes only. Sponsor assumes no responsibility for incorrect or inaccurate entry information, human error or technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any computer equipment or software, or any combination thereof.

4) PRIZE: One (1) Grand Prize Winner will receive 1) A 32” flat screen television (make and model at Sponsor’s discretion) (ARV: $700.00); 2) A selection of roses from Calyx & Corolla (ARV: $150.00); 3) Sponsor’s choice of Kentucky Derby merchandise and Kentucky Derby party supplies (ARV: $1,785); and 4) A catered Party for a maximum of up to 20 guests (the "Party") (ARV: $1,000). The Party is intended be held at the Grand Prize Winner’s home. Prize does not include any transportation to or from the Party for guests of winner. Included in the Party is food and non-alcoholic beverages for a maximum of up to 20 persons. Food and beverage choices will be made by Sponsor. No alcoholic beverages will be provided by Sponsor. If less than 20 people attend the Party no reimbursement for those unattended guests will be provided. Length of Party will be determined prior to event and is subject to Sponsor’s approval. Date of Party is currently scheduled for May 1, 2010. Grand Prize Winner will receive less than 10 days notice prior to Party. If for any reason the Grand Prize Winner cannot accept the Party on a date specified by the Sponsor, the Sponsor shall have no further obligation to the Grand Prize Winner and guests and an alternate Grand Prize Winner may be selected. Estimated total retail value of entire Grand Prize package is $3,635. Actual value may vary based on Party location. Specifics of prize are at Sponsor’s sole discretion. Merchandise prizes will ship to Grand Prize Winner from separate locations on separate carriers and may arrive on different dates/times. All TV installation costs, cable or satellite subscription/service, and any other expenses not explicitly specified herein are the sole responsibility of Grand Prize Winner. TV connection in time for Kentucky Derby viewing cannot be guaranteed. Grand Prize package is non-transferable; no substitutions or cash awards allowed, except at the discretion of the Sponsor in which case a prize of equal or greater value will be awarded. Complete terms and conditions of Party will be furnished to Grand Prize Winner with prize notification. All other expenses relating to acceptance of Grand Prize not explicitly stated herein are the responsibility of Grand Prize Winner and guests. If, for any reason, the Party is unable to take place as planned, the Sponsor reserves the right, at its sole discretion, to award a prize of equal or greater value, in lieu of the Party. Party guests must be at least 21 years of age. Grand Prize Winner must agree to have the Party on the date determined by Sponsor. All guests must agree to attend party at the location, time, and date specified by Sponsor. All federal, state or other tax liabilities are the responsibility of the Grand Prize Winner. Any and all guarantees and warranties for merchandise prizes are subject to the manufacturer’s terms and conditions, and the Grand Prize Winner agrees to look solely to such manufacturer for any such warranty or guarantee claim. All details of Grand Prize not specified herein shall be determined solely by Sponsor.

5) RANDOM DRAWING FOR PRIZE: A random drawing to select the potential Grand Prize Winner from among all eligible entries received will be conducted on or about April 22, 2010. Drawing will be conducted by Marden-Kane Inc., an independent judging organization, whose decisions are final and binding on all matters relating to this Sweepstakes. Potential Grand Prize Winner is subject to eligibility verification and compliance with these Official Rules. Marden-Kane will notify the potential Grand Prize Winner by phone, email, and/or postal mail at the postal address provided, in its sole discretion, within two (2) business days of prize drawing. If Marden-Kane is unable to reach Potential Winner after one call attempt the agent of Sponsor retains sole discretion to disqualify the entrant and will attempt to contact an alternate entrant until such time that direct contact is made with an entrant. The potential Grand Prize Winner will be required to sign, have notarized and return to Marden-Kane an affidavit of eligibility/release of liability, and, where legal, a publicity release within forty-eight (48) hours of issuance of notification. Failure to complete and return the documents in the time noted, or if prize notification is undeliverable, may result in disqualification and an alternate winner may be selected at Sponsor’s discretion. Acceptance of the prize constitutes permission for the Sponsor and its designees to use the results and proceeds of Winner’s services hereunder and the name, voice, actual or simulated likeness, and biographical information of Grand Prize Winner and/or Party guests in connection with the Sweepstakes and the exploitation thereof (including, without limitation, for advertising and promotional purposes) in perpetuity, throughout the universe, in all media whether now known or hereafter devises, without additional compensation unless prohibited by law. Odds of winning prize are subject to the total number of eligible entries received.

6) Party guest Liability and Publicity Release: The Grand Prize Winner and his or her Party guest(s) may, at Sponsor’s sole discretion, be required to sign and properly execute a Liability and Publicity Release, except where prohibited by law and return said documents via email or facsimile (and subsequently by mail) to Administrator before the Grand Prize Party will be awarded. Promotion Parties shall not have any responsibility or liability whatsoever for any property loss, damage, personal injury, or death, in connection with any person’s participation in the Sweepstakes or any prize awarded herein.

7) CONDUCT: This Sweepstakes is subject to the laws of the United States only. By entering this Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the judges, which shall be final and binding in all respects. These Official Rules are accessible from the Website throughout the Sweepstakes Period. Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right at its sole discretion to disqualify any individual suspected of tampering with the entry process or the operation of the Sweepstakes; or to be acting in any manner deemed by Sponsor to be in violation of the Official Rules; or to be acting in any manner deemed by Sponsor to be unsportsmanlike, disruptive, or with intent to annoy, abuse, threaten, or harass any other person. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

8) INTERNET: If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion, to disqualify any individual, or organization, who tampers with the entry process, and to cancel, terminate, modify, suspend, or extend the Sweepstakes, in whole or in part, without further notice. In the event of any termination or cancellation, Sponsor may, in its sole discretion, select a winner based on all eligible, non-suspect entries received prior to the termination or cancellation. Inclusion in such process shall be each entrant’s sole and exclusive remedy under such circumstances. Sponsor is not responsible for any problems or technical malfunction of any computer online systems, servers, or providers, computer equipment, software, failure of any entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Sweepstakes.

9) LIMITATIONS OF LIABILITY: Promotion Parties assume no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty, failed, garbled or jumbled electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation, or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers, or providers utilized in any aspect of the operation of the Sweepstakes; (d) inaccessibility or unavailability of the Internet or any combination thereof, or; (e) any injury or damage to participant’s or to any other person's computer which may be related to or resulting from any attempt to participate in the Sweepstakes or download any materials in the Sweepstakes.

10) WINNER RELEASES: All entrants, as a condition of entry into the Sweepstakes, agree to release Churchill Downs, Inc., Marden-Kane, Inc., and their respective parents, subsidiaries, affiliates, divisions, distributors, suppliers, printers, application developers, distributors, and advertising, promotional or judging agencies, from and against any and all liability, claims, or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with accessing the Sweepstakes page, submitting an entry, or otherwise participating in any aspect of the Sweepstakes; the receipt, ownership, or use of any prize awarded; preparing for, participating in, or traveling to and/or from any prize-related activity, or any typographical or other error in these Official Rules or the announcement of offering of any prize. Except for residents of Tennessee and where prohibited by law, Grand Prize Winner grants to Sponsor the right to print, publish, broadcast and use worldwide in any media now known or hereinafter known (including without limitation use online at the Website) the Grand Prize Winner’s name, address, voice, statement, picture or other likeness, without additional compensation, for public relations, advertising, and promotional purposes as may be determined by Sponsor.

11) PRIVACY: Information collected from entrant is used in accordance with Sponsor's Privacy Policy, available at http://www.churchilldownsincorporated.com/our_company/privacy_policy.html. Entry information may be shared with Sponsor’s promotional partners to the extent entrants agree at the time of entry and to the extent required for prize fulfillment purposes.

12) GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION, AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE COMMONWEALTH OF KENTUCKY WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS. As a condition of participating in this Sweepstakes, each participant agrees that any and all disputes that cannot be resolved between the parties and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action, exclusively before a court located in Jefferson County, Kentucky, having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for and hereby waives all rights to claim punitive; incidental; or consequential damages, including reasonable attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with entering this sweepstakes), and participant further waives all rights to have damages multiplied or increased.

13) WHO WON?: The Grand Prize Winner will be announced on the Website on or about Monday, April 26th, 2010. To request the name of the Grand Prize Winner, available after 4/26/10, mail a self-addressed stamped envelope to: Kentucky Derby c/o Marden-Kane, 36 Maple Place, Manhasset, NY 11030 Attn: MB. Requests received after 5/30/10 will not be honored.
