PROMOTION DESCRIPTION: The Sweepstakes begins at the time gates open at Fair Grounds Race Course and Slots, 1751 Gentilly Blvd, New Orleans, LA 70119 (“Track”) on March 27, 2010, and ends at the start of the 7th race at the Track,  (the “Entry Period”) on the same day. By participating, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Churchill Downs Incorporated (“Sponsor”), which shall be final and binding in all respects.

ELIGIBILITY:  This Sweepstakes is open only to individuals who are legal residents of the fifty (50) United States and D.C. (“U.S.”) who currently reside in the U.S. at the time of entry, and are 18 or older at the time of entry.  Sponsor reserves the right to require proof of eligibility that includes a photograph of the entrant (e.g., a valid drivers’ license) at the time of entry and/or at the time any prize is claimed.  Any person who is unable or unwilling to present such proof of eligibility shall not be eligible to enter the Sweepstakes or claim a prize if selected as a winner.  Sponsor and its subsidiaries, affiliates, advertising and promotion agencies and each of their respective officers, directors and employees (collectively, the “Promotion Entities”), as well as the immediate family members and/or those persons living in the same households of such employees, officers and directors are not eligible to enter or win this Sweepstakes. 

HOW TO ENTER:  Sweepstakes entries will be handed out to guests as they enter the gates of the Track, while supplies last. The purpose of the visit is to participate in the Sweepstakes. Entries must be fully completed and will be accepted during the Entry Period only in the official entry collection boxes located at the Track. To enter, legibly hand-print all required information on the official entry blank, while supplies last, and deposit it in an official entry collection box provided. Only entries on official entry blanks will be eligible for entry into the Sweepstakes.  No photocopied or mechanically reproduced entries will be eligible, nor will any entry be eligible if it is lost, late, illegible or incomplete. The Promotion Entities shall not be responsible for incorrect or inaccurate entry information whether caused by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes.  The Promotion Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries. All entries become the property of the Sponsor and none will be acknowledged or returned.  False, fraudulent and/or deceptive entries or acts shall render entrants ineligible for the Sweepstakes.  Limit one (1) entry per person

DRAWING/ODDS:  One (1) potential winner will be selected in a random drawing held by Sponsor sometime during the 7th race from among all eligible entries received during the Entry Period.  The odds of winning depend on the number of eligible entries received for the drawing.  Starting after the Drawing, Sponsor will notify potential winners via announcements over the public address system at the Track and via contact cell numbers (if provided on the entry blank) and will ask potential winners to congregate at a designated place prior to the 8th race. Once notified the potential winner will not be notified again. Sponsor shall have no liability for any winner notification that is lost, intercepted, unheard, not received or not timely acted upon by the potential winner for any reason.  

POTENTIAL WINNER NOTIFICATION/PRIZE SELECTION: Prior to prize award and subject to verification of identity and eligibility, the potential winner will be required to sign an Affidavit of Eligibility, Liability and (where legal) Publicity Releases. Potential winners may also be required to complete an IRS W-9 form.  If any potential winner is in noncompliance, found to be ineligible, or if he or she has not complied with these Official Rules, or declines to participate in prize/publicity related activities or declines a prize for any reason prior to award, such potential winner will be disqualified and Sponsor, in its sole and absolute discretion, may select an alternate winner (provided sufficient time exists) or determine that the prize will not be awarded.

PRIZE (1):  Winner will receive six (6) seats in a Clubhouse Box at Track to be used during the 2010/2011 race meet at a mutually agreed upon date; six (6) race programs; and six (6) buffet meals at Track casino (or equivalent) for use during the agreed upon date, with an Approximate Retail Value (ARV) of $130, and the opportunity for a free $10,000 win wager on a single horse in the 2010 Louisiana Derby (or another race selected by Sponsor in its sole discretion).  Winner has not won $10,000, but has simply won the right to direct a free wager which the Sponsor will place on a single horse selected by the winner. The free wager itself has no cash value to winner.  Winner will also win the proceeds, if any, of the free wager they direct, to be redeemed as follows. If the free wager placed by the Sponsor results in a “winning” pari-mutuel ticket (as determined solely by the official outcome of the 2010 Louisiana Derby), Sponsor will deliver possession of the winning ticket to winner, which winner must take to the designated window at the track to collect the proceeds in accordance with all Track policies and procedures pertaining to such payouts. All risk of loss of the winning ticket (if any) shall pass to winner at the time winner receives possession of the ticket. In the event the ticket is lost, stolen, destroyed or otherwise not presented for payment in accordance with all Trace policies and procedures, it will not be replaced and winner will not receive any proceeds/payout for the free wager.  ARV of Prize may vary, depending on the outcome/proceeds from the free wager. No transfer, assignment or substitution of prizes (in whole or in part), except Sponsor reserves the right to substitute a prize of equal or greater value. Prizes are not redeemable for cash in whole or in part. All details and other restrictions of prizes not specified in these Official Rules will be determined by Sponsor in its sole discretion.  All federal, state and local taxes on a prize (if applicable),  and any other fees or costs associated with the prizes are the sole responsibility of the winners.  Limit one (1) prize per person, or per household.

GENERAL CONDITIONS & RELEASE OF LIABILITY: By participating in the Sweepstakes, each entrant agrees that the Promotion Entities: (i) shall not be responsible or liable for any threatened or actual claims, actions, losses, liabilities, damages or injuries of any kind (“Damages”) resulting from participation in the Sweepstakes or in any Sweepstakes related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize, (ii) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize and specifically disclaim all such warranties, including without limitation, the implied warranties of merchantability and fitness for a particular purpose; and (iii) with any opportunity to place a wager, entrants agree that they may be unsuccessful and in such event will receive no winnings. With respect to the above, entrants agree to release and hold harmless Promotion Entities from any and all Damages relating directly or indirectly thereto.

By accepting a prize, winner agrees to appear live at the event and on camera, and to the use of their name, photograph, voice, image, likeness, and biographical information (age, city/state of residence) by Sponsor, or any party authorized by Sponsor, at the event and in advertising and promotional purposes worldwide in any and all media now known (including the World Wide Web, Internet and digital) or hereinafter developed without additional notice, review or compensation, except where prohibited by law.  Sponsor is not responsible for any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in the offering or announcement of the prize or in any prize notification documents, failure to collect entries, or any other errors of any kind or nature.  If, for any reason, the Sweepstakes is not capable of running as planned, including, due to tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right in its sole discretion to cancel, terminate, modify, suspend or extend the Sweepstakes and, in the event of any termination or cancellation, select a winner from among all eligible, non-suspect entries received prior to the termination or cancellation. 

Any attempt by an entrant or any other individual to deliberately undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person in connection with the Sweepstakes, is in violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to disqualify the applicable individual and seek damages and other remedies from any such person to the fullest extent permitted by law.  If any provisions of these Official Rules are determined to be invalid or unenforceable, these Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or unenforceable provision were not contained herein.

FORCE MAJEURE:  In the event Sponsor is prevented from awarding prizes, or continuing with a race or the Sweepstakes, in whole or in part, as contemplated herein by any event beyond its control, including but not limited to severe inclement weather, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval that may be required, Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes.  If the Sweepstakes is terminated before the designated end time, Sponsor will (if possible) select the winner in a random drawing from all eligible entries received as of the time of the event giving rise to the termination.  Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.  Only the type and quantity of prizes described in these Official Rules will be awarded. 

PRIVACY: Entry information may be shared with Sponsor’s promotional partners to the extent entrants agree at the time of entry and to the extent required for prize fulfillment purposes. 

GOVERNING LAW/JURISDICTION:  ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE COMMONWEALTH OF KENTUCKY WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS. As a condition of participating in this Sweepstakes, each participant agrees that any and all disputes that cannot be resolved between the parties and causes of action arising out of or connected with this sweepstakes shall be resolved individually, without resort to any form of class action, exclusively before a court located in Jefferson County, Kentucky, having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for and hereby waives all rights to claim punitive; incidental; or consequential damages, including reasonable attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with entering this sweepstakes), and participant further waives all rights to have damages multiplied or increased.

WINNERS LIST:  For the name of the prize winner, send a SASE to DreamBet Sweepstakes Winner List, attn: Omar Amin, 700 Central Avenue Louisville, KY 40208-1200, for receipt by April 30, 2010.  Include the name of the Track on the outer mailing envelope and on your SASE.
